YES. Article II Section 1 of the By-Laws of the Corporation enumerates the powers of the Board of Directors. A copy of the By-Laws is disclosed to the PSE and SEC and posted on the company website.
The Definitive Information Statement (20-IS) of the Corporation contains a list of all resolutions passed by the Board of Directors of the Corporation for the current year. It is disclosed to the PSE and SEC and posted on the company's website and distributed to the stockholders of record at least one month before the Annual Stockholders' Meeting.
