NO. However, our Audit Committee, which is comprised of 4 Non-Executive Directors as members, meets in private sessions without the presence of Management, at least annually, with the Chief Audit Executive and External Auditor/SGV Partner to discuss and/or approve, the annual Audit Plan, SGV & IA performance, fraud inquiry, and audit issues, if any.
